Disney and Fox a “Done Deal” and Formal Announcement is Expected Thursday

According to CNBC, the Disney-Fox deal is essentially done, and the parties are planning a formal announcement on Thursday, December 14, 2017.

Yesterday, Comcast dropped out of the bidding, leaving Disney as the sole suitor. That left Disney and Fox to just work out financial details, which apparently will be substantially finished by Thursday’s planned announcement.

No additional details have been released regarding exactly which Fox properties will be part of the deal, but our post late last week has all the details and there is no indication that anything has changed.

Fox shareholders will retain ownership of the remaining Fox assets, in a new company valued at around $10 per share. Based on Fox’s share price today of around $34, that means the assets being sold to Disney are valued at $24 per share, or a total of $44.5 billion. Disney will of course pay a premium to that valuation, so we expect the deal to be in the $60+ billion range.

“It’s not easy being green” – Voice of Kermit the Frog Fired (Updated)

After 27 years being the voice and puppeteer of Kermit the Frog, Steve Whitmire has been forcibly let go from The Muppets Studio (a subsidiary of The Walt Disney Company). From his own blog post on the matter, he said he is “devastated”:

For me the Muppets are not just a job, or a career, or even a passion. They are a calling, an urgent, undeniable, impossible to resist way of life. This is my life’s work since I was 19 years old. I feel that I am at the top of my game, and I want all of you who love the Muppets to know that I would never consider abandoning Kermit or any of the others because to do so would be to forsake the assignment entrusted to me by Jim Henson, my friend and mentor, but even more, my hero.

I have experienced every possible emotion since October 2016, when I received a phone call from The Muppets Studio’s executives to say they were recasting. […]I have remained silent the last nine months in hopes that the Disney company might reverse their course.

The rationale for Mr. Whitmire’s firing isn’t crystal clear. When talking to The Hollywood Reporter, Steve said he was given two reasons for his firing – a union dispute revolving around him being double booked, and Steve providing unwanted feedback on the changes being made to Kermit’s character during the (brief) run of ABC’s The Muppets. “I have been outspoken about what’s best for the Muppets since the Muppets came to Disney,” Steve said,” but the fact is I have respect for everyone who was involved in the creation of that series for their own particular contributions.”

At the same time, a Muppets Studio spokesperson made this statement to THR:

The role of Kermit the Frog is an iconic one that is beloved by fans and we take our responsibility to protect the integrity of that character very seriously. We raised concerns about Steve’s repeated unacceptable business conduct over a period of many years and he consistently failed to address the feedback. The decision to part ways was a difficult one which was made in consultation with the Henson family and has their full support.

Apple Buying Disney Rumors by Wall Street Analysts Gaining Momentum

Last month, we covered a report by Yahoo Finance that RBC Analyst Stephen Cahall was speculating that Apple might use its $237 billion pile of cash to buy The Walt Disney Company. Today this story has resurfaced in many media outlets (Barron’s, Variety, /Film, TheStreet, and BusinessInsider, to name a few), after three RBC analysts released an extensive report on the possibility.

“We have seen increased discussions among investors regarding ‘How could AAPL gain scale in media/content and what could it do with potential cash repatriation?’ Media assets could be part of AAPL’s M&A strategy and [CEO] Tim Cook has noted that deal size isn’t a negating factor,” RBC analyst Amit Daryanani wrote in a note Thursday.

“AAPL’s focus on services and its inability (so far) to replicate its music/iTunes strategy into content/media make acquiring DIS logical in our view. This is particularly true if AAPL can access $200B+ offshore cash via repatriation holiday. There are plenty of factors to consider, but such a deal would create a tech/media juggernaut like no other and instantly scale AAPL’s services, content, and media portfolio, which would make the case for a higher valuation.”

Even though Disney stock hit a 52-week high today at $113 and change, and analysts predict Apple paying a 40% premium, the analysts conclude that while “odds are low,” the possibility of a takeover is “greater than 0%”. However, for Apple to be able to spend that $237 billion in cash, it will have to repatriate much of it from overseas. Under current tax laws, this would be prohibitively expensive (hence the cash is still overseas). However, if the US government provides a “tax holiday” for US corporations to repatriate cash to the US at a far smaller tax rate, Apple could end up with $220 billion in cash in the US to make an acquisition.

The analysts go on with the strategic rationale for the merger:

“The best justification for such a mega deal, in our view, is the ability to do things together that neither company, nor any other company, could do. The sheer scale of a combined company offers some unique opportunities, and we’ve tried to identify some of the more compelling ones below.

“More importantly, Apple and Disney are each not just industry leaders in their own right but titans of industry on a global scale with truly unique products and services. Few people on earth are not already familiar with both companies’ products, yet they don’t compete in any meaningful sphere at the moment. The question therefore becomes what can they do together that they can’t do apart? The answer is they can do just about anything given the technology and financial resources.”

So, while the “odds are low” at the present time, I fully expect this story to gain a lot of traction if there is a corporate tax holiday for US companies to repatriate overseas cash. Right now, investors want Apple to spend its cash, but it’s not a wise move at the current tax rate. If the tax rate ceases being a roadblock, investors are going to clamor for Apple to do something with its cash that will bring a greater return to the company. So even if it doesn’t buy Disney, expect Apple to make some major moves if it can access the overseas cash cheaply.

Disney CEO Bob Iger Extends Contract Through 2019

On Thursday, the Walt Disney Company announced the extension of current CEO Bob Iger’s contract to July 2, 2019.  The complex nature of finding a suitable replacement has proven challenging in the years since Mr. Iger first announced his desire to retire.   Since it is a “robust process of identifying a successor and ensuring a smooth transition” the Board of Directors felt keeping the steady approach Mr. Iger has provided would best serve the Company.

 width=

Robert A. Iger

In the release, the Independent of Lead Director of the Disney Board Orin C. Smith highlighted Mr. Iger’s success’s over his first 11 years as CEO.  Among those achievements are the 448% growth in shareholder returns while simultaneously increasing the market capitol of the company from $46 billion to $177 billion.

Mr. Iger expressed his gratitude in saying “leading this Company is a tremendous privilege, and I am honored to have been asked to continue serving as CEO” adding “even with the incredible success the Company has achieved, I am confident that Disney’s best days are still ahead”.

As part of his agreement, Mr. Iger will receive a $5 million dollar bonus for staying on.  In addition to the bonus, Mr. Iger will remain a consultant for the company for 3 years following his retirement.  Back in 2011, Mr. Iger announced his intentions to step down in 2015.  The departures of CFO Jay Rasulo and COO Tom Staggs left no clear successor within the company.  This latest extension marks the 3rd time that Mr. Iger’s contract has been extended since his initial announcement.

With Pandora: World of Avatar set to open this spring and both Toy Story and Star Wars Lands set to open by 2019, it makes sense that Mr. Iger would want to stay on for those openings as the acquisition of both Pixar and Lucasfilm have been huge success under the Iger tenure.
