BREAKING: Walt Disney Company To Acquire Twenty-First Century Fox; AVATAR, Simpsons, X-Men & More Join Disney Family

The Walt Disney Company and Twenty-First Century Fox, Inc. (21st Century Fox) today announced that they have entered into a definitive agreement for Disney to acquire 21st Century Fox, including the Twentieth Century Fox Film and Television studios, along with cable and international TV businesses, for approximately $52.4 billion in stock (subject to adjustment). Building on Disney’s commitment to deliver the highest quality branded entertainment, the acquisition of these complementary assets would allow Disney to create more appealing content, build more direct relationships with consumers around the world and deliver a more compelling entertainment experience to consumers wherever and however they choose. Immediately prior to the acquisition, 21st Century Fox will separate the Fox Broadcasting network and stations, Fox News Channel, Fox Business Network, FS1, FS2 and Big Ten Network into a newly listed company that will be spun off to its shareholders.

Under the terms of the agreement, shareholders of 21st Century Fox will receive 0.2745 Disney shares for each 21st Century Fox share they hold (subject to adjustment for certain tax liabilities as described below). The exchange ratio was set based on a 30-day volume weighted average price of Disney stock. Disney will also assume approximately $13.7 billion of net debt of 21st Century Fox. The acquisition price implies a total equity value of approximately $52.4 billion and a total transaction value of approximately $66.1 billion (in each case based on the stated exchange ratio assuming no adjustment) for the business to be acquired by Disney, which includes consolidated assets along with a number of equity investments.

Combining with Disney are 21st Century Fox’s critically acclaimed film production businesses, including Twentieth Century Fox, Fox Searchlight Pictures and Fox 2000, which together offer diverse and compelling storytelling businesses and are the homes of Avatar, X-Men, Fantastic Four and Deadpool, as well as The Grand Budapest Hotel, Hidden Figures, Gone Girl, The Shape of Water and The Martian—and its storied television creative units, Twentieth Century Fox Television, FX Productions and Fox21, which have brought The Americans, This Is Us, Modern Family, The Simpsons and so many more hit TV series to viewers across the globe. Disney will also acquire FX Networks, National Geographic Partners, Fox Sports Regional Networks, Fox Networks Group International, Star India and Fox’s interests in Hulu, Sky plc, Tata Sky and Endemol Shine Group.

At the request of both 21st Century Fox and the Disney Board of Directors, Mr. Iger has agreed to continue as Chairman and Chief Executive Officer of The Walt Disney Company through the end of calendar year 2021.

The acquisition will enable Disney to accelerate its use of innovative technologies, including its BAMTECH platform, to create more ways for its storytellers to entertain and connect directly with audiences while providing more choices for how they consume content. The complementary offerings of each company enhance Disney’s development of films, television programming and related products to provide consumers with a more enjoyable and immersive entertainment experience.

Bringing on board 21st Century Fox’s entertainment content and capabilities, along with its broad international footprint and a world-class team of managers and storytellers, will allow Disney to further its efforts to provide a more compelling entertainment experience through its direct-to-consumer (DTC) offerings. This transaction will enable Disney’s recently announced Disney and ESPN-branded DTC offerings, as well as Hulu, to create more appealing and engaging experiences, delivering content, entertainment and sports to consumers around the world wherever and however they want to enjoy it.

The agreement also provides Disney with the opportunity to reunite the X-Men, Fantastic Four and Deadpool with the Marvel family under one roof and create richer, more complex worlds of inter-related characters and stories that audiences have shown they love. The addition of Avatar to its family of films also promises expanded opportunities for consumers to watch and experience storytelling within these extraordinary fantasy worlds. Already, guests at Disney’s Animal Kingdom Park at Walt Disney World Resort can experience the magic of Pandora—The World of Avatar, a new land inspired by the Fox film franchise that opened earlier this year. And through the incredible storytelling of National Geographic—whose mission is to explore and protect our planet and inspire new generations through education initiatives and resources—Disney will be able to offer more ways than ever before to bring kids and families the world and all that is in it.

Enhancing Disney’s Worldwide Offerings

Adding 21st Century Fox’s premier international properties enhances Disney’s position as a truly global entertainment company with authentic local production and consumer services across high-growth regions, including a richer array of local, national and global sporting events that ESPN can make available to fans around the world. The transaction boosts Disney’s international revenue mix and exposure.

Disney’s international reach would greatly expand through the addition of Sky, which serves nearly 23 million households in the UK, Ireland, Germany, Austria and Italy; Fox Networks International, with more than 350 channels in 170 countries; and Star India, which operates 69 channels reaching 720 million viewers a month across India and more than 100 other countries.

Prior to the close of the transaction, it is anticipated that 21st Century Fox will seek to complete its planned acquisition of the 61% of Sky it doesn’t already own. Sky is one of Europe’s most successful pay television and creative enterprises with innovative and high-quality direct-to-consumer platforms, resonant brands and a strong and respected leadership team. 21st Century Fox remains fully committed to completing the current Sky offer and anticipates that, subject to the necessary regulatory consents, the transaction will close by June 30, 2018. Assuming 21st Century Fox completes its acquisition of Sky prior to closing of the transaction, The Walt Disney Company would assume full ownership of Sky, including the assumption of its outstanding debt, upon closing.

Transaction Highlights

The acquisition is expected to yield at least $2 billion in cost savings from efficiencies realized through the combination of businesses, and to be accretive to earnings before the impact of purchase accounting for the second fiscal year after the close of the transaction.

Terms of the transaction call for Disney to issue approximately 515 million new shares to 21st Century Fox shareholders, representing approximately a 25% stake in Disney on a pro forma basis. The per share consideration is subject to adjustment for certain tax liabilities arising from the spinoff and other transactions related to the acquisition. The initial exchange ratio of 0.2745 Disney shares for each 21st Century Fox share was set based on an estimate of such tax liabilities to be covered by an $8.5 billion cash dividend to 21st Century Fox from the company to be spun off. The exchange ratio will be adjusted immediately prior to closing of the acquisition based on an updated estimate of such tax liabilities. Such adjustment could increase or decrease the exchange ratio, depending upon whether the final estimate is lower or higher, respectively, than the initial estimate. However, if the final estimate of the tax liabilities is lower than the initial estimate, the first $2 billion of that adjustment will instead be made by net reduction in the amount of the cash dividend to 21st Century Fox from the company to be spun off. The amount of such tax liabilities will depend upon several factors, including tax rates in effect at the time of closing as well as the value of the company to be spun off.

The Boards of Directors of Disney and 21st Century Fox have approved the transaction, which is subject to shareholder approval by 21st Century Fox and Disney shareholders, clearance under the Hart-Scott-Rodino Antitrust Improvements Act, a number of other non-United States merger and other regulatory reviews, and other customary closing conditions.

Disney & Fox Are Meeting “Again” To Discuss The Possible Acquisition Of Fox By Disney

We recently reported that Fox had met with Disney looking to strike a deal that would have Disney potentially acquire Fox. Nothing official was announced by either side, but it sounded from various sources that both sides could not reach an agreement and any kind of deal was off.

It was kind of disappointing to hear that those talks broke down, but now according to Deadline, those talks have started up again and it sounds like it is possible that we may hear some good news very soon. It still sounds like if both parties come to an agreement, Disney would get the film and TV Studios, and Fox would still retain the sports and news properties.

FLEMING: I just want to start with a juicy rumor that is fast gaining steam in town today, that Disney is progressing speedily toward that rumored acquisition of Fox. The version I heard has the Murdoch clan keeping possession of sports and news properties, and the rest of TV and the film studio going to Disney. Radio silence right now from both studios, and given how Disney made the Marvel and Lucasfilm deals under the cone of silence, if this happens we’ll probably only know it when it’s announced.

I have provided a link to the article, but to be honest, the Deadline article mostly discusses how the recent sexual harassment charges could possibly affect the movies that both studios own and whether those involved should be stricken from the history of both, and other, companies.

It seems that most analysis feel that Disney’s acquisition of Fox would make sense and benefit both companies. Other major companies, such as Comcast and Verizon, have also shown interest in acquiring Fox. But I think it’s a good sign that Fox seemed to have reached out to Disney and that they are meeting again.

We will keep you up to date if any news breaks regarding Disney’s acquisition of Fox, but until then, we will be waiting for Disney or Fox, or even another company, makes an official announcement.

New Made with Magic 3.0 Ear Hats Now Available; Glow With The Show At Home Via App

Just released on the Shop Disney Parks app, the new “Made With Magic 3.0” ear hats (that we first told you about last month) are the first of the new “connected” Made with Magic items to become available. These new generation interactive glow items are designed to connect to the Shop Disney Parks app via Bluetooth so that users can control the lighting effects even when they are not at the Disney Parks.

To demonstrate this new home use, the app will sync with ABC’s The Wonderful World of Disney: Magical Holiday Celebration on November 30th at 9PM EST to “complete the event experience with a glowing, synchronized display.” The same synchronization will be available during the broadcast of the Disney Parks Christmas Day Parade on December 25th.

TV Series Based On “Star Wars”, “Monsters Inc.” And “High School Musical” Coming to Disney’s Upcoming Streaming Service

Bob Igeer has announced that new TV series’ based on the popular franchises, “Star Wars” , “Monsters Inc.” and “High School Musical” will be coming to Disney’s upcoming streaming service.

Disney is planning a live-action “Star Wars” TV series to air on its entertainment streaming service that is expected to launch by the end of 2019.

Disney chairman-CEO Bob Iger announced the “Star Wars” news during the company’s quarterly earnings call. In addition to the “Star Wars” TV series, Disney is working on TV series adaptations of Pixar’s “Monsters Inc.,” the Disney Channel’s “High School Musical” franchise and an original entry from Marvel.

Of the nascent entertainment-focused streaming service, Iger said Disney would produce four to five original movies a year for the service, in addition to the original TV series. Iger said it would not have traditional advertising in the form of commercials. Sponsorship opportunities may be available, however.

Iger also said he expects the Disney-branded streaming service to be priced “substantially below” Netflix’s $10.99 a month because the service will have less content overall. “The price will reflect that,” he said. “Our goal is to attract as many subs as possible starting out.”

Two Disney Parks Holiday Specials Coming to ABC This Season

Disney will continue with their tradition of holiday television specials by airing two separate events this year on ABC.

The first, “The Wonderful World of Disney: Magic Holiday Celebration” will air on November 30 from 9pm to 11pm. Julianne Hough and Nick Lachey will host the special from Walt Disney World, while Jesse Palmer will co-host the show from Disneyland Resort in California.

Specials performances will be made by:

  • Ciara in a Christmas medley from Cinderella Castle.
  • Darius Rucker, singing “Winter Wonderland.”
  • Hit group, Fifth Harmony will sing “Can You See,” from “The Star” soundtrack, and “The Christmas Song.”
  • Fitz and the Tantrums will perform “HandClap” and their original Christmas song “Santa Stole My Lady.”
  • Hanson will sing “Finally It’s Christmas,” from their recently released Christmas album.
  • Boy band In Real Life will sing “I’ll Be Home for Christmas.”
  • Jason Derulo will perform “This Christmas.”
  • Lea Michele will perform “Baby It’s Cold Outside.”

Disney will announce additional performances at a later date.

The second television holiday special, titled “Disney Parks Magical Christmas Celebration,” will air on Christmas day from 10am to noon. Hough and Lachey will also be hosting the special, with Palmer once again co-hosting from Disneyland in California.

For “Disney Parks Magical Christmas Celebration” performances will be made by:

  • Ciara will sing “Rockin’ Around the Christmas Tree” from Magic Kingdom at Walt Disney World.
  • Darius Rucker singing “Home for The Holidays.”
  • Fifth Harmony performing “Sleigh Ride.”
  • Fitz and the Tantrums will be performing “Last Christmas.”
  • Jason Derulo will sing “Silent Night” from Sleeping Beauty Castle at Disneyland.
  • ”Glee” star Michele will perform “Let It Snow.”
  • 98 Degrees will play their new song “Season of Love” from their new holiday record.
  • Telly Leung and Arielle Jacobs, from the stage show “Aladdin,” will perform “A Whole New World” at Disney’s Hollywood Studios.

As with the first special, additional performances will be announced later.

Disney Is Working On A “Hocus Pocus” Remake For The Disney Channel

Disney is bringing back a Halloween favorite, “Hocus Pocus”, for a whole new generation. A “Hocus Pocus” remake is currently in development that will introduce a brand new cast and will appear exclusively on The Disney Channel.

From Deadline:

Disney Channel is in early stages of development on a Hocus Pocus TV movie, a reimagining of the 1993 cult classic Walt Disney feature, which starred Bette Midler, Sarah Jessica Parker and Kathy Najimy.

The new take is being written by Scarlett Lacey (The Royals), with David Kirschner, producer on the original movie, on board to executive produce.

The 1993 film was written by Neil Cuthbert and Mick Garris, based on a story by Garris and Kirschner, and directed by zKenny Ortega. Garris hinted at a possible Hocus Pocus TV project in a recent interview.

The new Hocus Pocus iteration will have a new cast and a new director. Ortega, who has directed Disney Channel’s two biggest TV movie franchises, High School Musical and Descendants, is not involved.

Hocus Pocus chronicles what happens when three villainous witches, played by Bette Midler, Kathy Najimy and Sarah Jessica Parker, are inadvertently resurrected in Salem, Massachusetts. The film has become a cult hit and a staple on Disney Channel and Freeform with annual airings.

Kirschner’s producing credits also include Curious George, An American Tail and The Addams Family TV series.

‘Marvel’s Guardians of the Galaxy: Mission Breakout’ Returning for a Third Season on Disney XD 

Series stars Will Friedle (“Boy Meets World”), Trevor Devall (“Johnny Test”), Vanessa Marshall (“Star Wars Rebels”), David Sobolov (“Transformers: Prime”) and Kevin Michael Richardson (“The Cleveland Show”), along with Lane and Quesada, announced that the Guardians will return for a brand-new third season on Disney XD titled “Marvel’s Guardians of the Galaxy: Mission Breakout.” The third season will find the Guardians gaining fame and fortune, but quickly knocked back on their heels after being framed by the Collector. The Guardians will travel to new universes, stage a massive sting operation inside the Nova Corps, and expose a Secret Invasion years in the making. A little bad and a little good – all in a day’s work.

The LEGO Group and Marvel will team up once again for an all-new 22-minute animated special “LEGO® Marvel Super Heroes – Guardians of the Galaxy: The Thanos Threat.” When Thanos, Ronan, Nebula and the Ravagers seek to possess the Build Stone – a powerful and creative relic – the fate of the universe depends on the Guardians of the Galaxy to protect it. Disney has released the first 4 episodes online of their new Star Wars animated series, Forces Of Destiny. These are surprisingly good! I wish they were expanded to full half hour episodes though. It’s nice to hear both Daisy Ridley and Ashley Eckstein return to provide the voices for Rey and Ashoka! And I definitely prefer this hand drawn style over the CGI that is presented in Rebels, although Anakin looks a bit wonky. Still, a very decent start!
